1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and DealStream.io ("DealStream," "we," "us," or "our") governing your access to and use of the DealStream website, platform, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that all registration information you provide is truthful, accurate, and complete.

3. Account Registration & Security

• You must provide accurate, current, and complete information during registration and keep your account information updated.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify us immediately at dealstreamio@gmail.com if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms, exhibit fraudulent activity, or remain inactive for an extended period with prior notice.

4. Description of Service

DealStream is a real estate deal intelligence platform that provides tools for deal pipeline management, deal analysis, contact relationship management (CRM), and investor portal sharing. The Service is designed for real estate professionals, investors, and teams to source, analyze, and manage property deals.

We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time. We will provide reasonable notice of material changes that significantly affect your use of the Service.

5. Subscription Plans & Billing

5.1 Plans

The Service is offered under multiple subscription tiers, including a free Starter plan and paid plans with additional features. Plan details, pricing, and feature availability are described on our Pricing page and may be updated from time to time.

5.2 Billing & Payment

• Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected.
• All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
• We may change pricing with at least 30 days' prior notice. Price changes will take effect at the start of your next billing cycle.

5.3 Free Trial

We may offer free trials of paid plans. At the end of a trial period, your account will automatically convert to the selected paid plan unless you cancel or downgrade before the trial expires. You will be notified before any charges are applied.

5.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access to paid features until then. No partial refunds are issued for unused portions of a billing period.

6. Your Data & Content

6.1 Ownership

You retain all ownership rights to the data, content, and materials you upload, create, or store within the Service ("Your Content"), including deal information, documents, contacts, and analysis results. DealStream does not claim any ownership over Your Content.

6.2 License to Us

By using the Service, you grant DealStream a limited, non-exclusive, worldwide license to host, store, process, and display Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or close your account.

6.3 Data Portability

You may export Your Content at any time through the Service's export functionality. Upon account termination, you will have a 30-day grace period to export your data before it is permanently deleted.

6.4 Responsibility

You are solely responsible for Your Content and ensuring it does not violate any laws, infringe third-party rights, or breach these Terms. You represent that you have all necessary rights and permissions to upload and use Your Content within the Service.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws or regulations.
• Upload or transmit viruses, malware, or any code designed to disrupt, damage, or limit the functionality of the Service.
• Attempt to gain unauthorized access to the Service, other user accounts, or related systems or networks.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
• Scrape, crawl, or use automated means to access the Service without our prior written consent.
• Use the Service to send unsolicited communications (spam) or for any form of harassment.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Circumvent, disable, or interfere with any security features or access controls of the Service.
• Resell, sublicense, or commercially exploit the Service without our prior written authorization.

8. Intellectual Property

The Service, including its design, code, features, branding, documentation, and all related intellectual property, is owned by DealStream and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

"DealStream," "DealStream.io," and associated logos and marks are trademarks of DealStream. You may not use our trademarks without prior written permission.

9. Investor Portal & Sharing

The investor portal feature allows you to share deal information with third parties. When sharing through the portal:

• You are solely responsible for the accuracy and legality of the information you share.
• You must have proper authorization to share any deal-related data with the intended recipients.
• Shared deal pages are accessible via unique, token-based links. You are responsible for distributing these links appropriately.
• DealStream is not responsible for how recipients use the information you share through the portal.

10. Third-Party Services

The Service may integrate with or contain links to third-party services (e.g., property data providers, email services, payment processors). These third-party services are governed by their own terms and privacy policies. DealStream is not responsible for the content, practices, or availability of third-party services and does not endorse them.

11. SMS Messaging Services

DealStream provides SMS messaging features that enable users to send and receive text messages with their business contacts. By using DealStream's SMS features, you agree to the following:

11.1 User Responsibilities

• You are responsible for obtaining proper consent from contacts before sending SMS messages through DealStream.
• You will only send messages to contacts with whom you have an existing business relationship.
• You will not use DealStream SMS for unsolicited bulk messaging, spam, or messages to purchased contact lists.
• You will comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA) and carrier regulations.

11.2 Prohibited SMS Content

• Illegal or fraudulent content.
• Messages promoting cannabis, gambling, or other restricted industries.
• Phishing, deceptive, or misleading messages.
• Content that violates carrier acceptable use policies.

11.3 Opt-Out Compliance

• All contacts may reply STOP to any message to opt out of future communications.
• DealStream automatically processes opt-out requests and blocks further messages to opted-out contacts.
• You must not send messages to contacts who have opted out.

11.4 Consent & Data Rates

• Message frequency varies based on deal activity.
• Standard message and data rates may apply.
• SMS consent is not transferable to third parties.

11.5 Carrier Compliance

• DealStream's SMS services operate under 10DLC regulations through our telephony provider.
• We reserve the right to suspend SMS access for any account that violates carrier policies or these terms.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALSTREAM DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Without limiting the foregoing:

• DealStream does not warrant that the Service will be uninterrupted, error-free, or secure.
• Deal analysis tools, calculators, and market data are provided for informational purposes only and do not constitute financial, investment, or legal advice.
• Property data sourced from third parties may contain inaccuracies. You should independently verify all data before making investment decisions.
• DealStream is not a licensed real estate broker, financial advisor, or legal professional.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALSTREAM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL DEALSTREAM'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DEALSTREAM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if DealStream has been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless DealStream and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any applicable law or third-party rights; or (e) your use of the investor portal to share information with third parties.

15. Dispute Resolution

14.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at dealstreamio@gmail.com and attempt to resolve the dispute informally for at least 30 days.

14.2 Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

14.3 Class Action Waiver

You agree that any disputes will be resolved on an individual basis and that you waive any right to participate in a class action, collective action, or representative proceeding.

14.4 Exceptions

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

16. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, non-payment, or extended inactivity.

Upon termination: (a) your right to use the Service ceases immediately; (b) you will have 30 days to export Your Content (unless termination is for cause); (c) we may delete Your Content after the export period; (d) provisions that by their nature should survive (including Sections 6.1, 8, 12, 13, 14, and 15) will survive termination.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

18. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and DealStream regarding the Service and supersede all prior agreements.
• Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: DealStream shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, acts of government, internet or infrastructure failures, or cyberattacks.
• Notices: We may provide notices to you via email, in-app notification, or by posting on the Service. You may contact us at dealstreamio@gmail.com.

19. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page and, for significant changes, by email or in-app notification at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and close your account.
